Please read these Terms and Conditions ("Terms") carefully before engaging the services of Devflow ("we," "us," "our"). By accepting a proposal or engaging our services, you ("the Client") agree to be bound by these Terms.
1. Services
We provide a range of digital services, including but not limited to UX/UI design, Webflow development, SEO, and website maintenance. The specific scope of services, deliverables, timelines, and fees for your project will be detailed in a separate Proposal or Statement of Work (SOW). These Terms shall be read in conjunction with any such Proposal.
2. Client Obligations
To ensure a successful project, the Client agrees to:
- Provide all necessary content (text, images, logos) and information in a timely manner.
- Provide timely feedback and approvals at each stage of the project.
- Appoint a single point of contact for all communications.
Delays in receiving content or feedback from the Client may result in adjustments to the project timeline.
3. Fees and Payment
3.1. Deposit
A non-refundable deposit of 50% of the total project fee is required before any work can commence. This secures your project in our schedule.
3.2. Final Payment
The remaining 50% is due upon completion of the project, prior to the final delivery of assets or the launch of the website. We reserve the right to withhold deliverables until full payment has been received.
3.3. Late Payments
Payments not received within 14 days of the invoice date may be subject to interest charges and may cause a pause in any ongoing work.
4. Intellectual Property
4.1. Ownership
We retain ownership of all design concepts, source files, and intellectual property created during the project until the final invoice has been paid in full. Upon receipt of full payment, all intellectual property rights for the final, approved deliverables will be transferred to the Client.
4.2. Portfolio Rights
We reserve the right to display the completed project and a description of our work in our portfolio, case studies, and other marketing materials.
5. Third-Party Costs
The Client is responsible for all third-party costs, including but not limited to Webflow hosting fees, domain name registration, and licenses for any third-party fonts, images, or software required for the project.
6. Confidentiality
Both parties agree to keep all confidential information, including proprietary business information and project details, private and not to disclose it to any third party without prior written consent.
7. Limitation of Liability
Our liability to you for any loss or damage is limited to the total amount of fees paid for the services. We will not be liable for any indirect or consequential loss, such as loss of profits or business interruption. While we follow best practices, we cannot guarantee specific SEO rankings or business results from our services.
8. Termination
Either party may terminate the project agreement with written notice. If the Client terminates the agreement, the initial deposit is non-refundable. If the project is terminated mid-way, the Client will be invoiced for all work completed up to the date of termination.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
